Terms of Service
The agreement between you and Able — what you can expect from the platform, and what we expect from you. Written to be read, not skimmed past.
01Agreement to Terms
These terms are an agreement between you and Able. By using the platform you accept them. If you use Able on behalf of an organisation, you confirm you are authorised to bind that organisation.
02Eligibility
You must be at least 16 years old and capable of forming a binding contract to use Able.
03Accounts & Registration
You are responsible for your account credentials and for activity under your sessions — including every account you keep signed in through the multi-account switcher. Keep your sign-in details safe and tell us promptly about any unauthorised use.
Information you provide on your account and profile must be accurate and yours. Impersonating another person or organisation is a breach of these terms.
An organisation's owner is responsible for its details being accurate (including its NZBN), for who is invited, and for the roles granted to members. Owners and admins act for the organisation when they manage members, roles and apps.
We may send you transactional and security messages about your account and payments; these are part of operating the service. Marketing communications are separate and require your opt-in.
04Acceptable Use
Do not request to join organisations you have no relationship with, misuse member data visible to you, or attempt to escalate your role. Access inside an organisation is limited to what your role permits.
05User Content & Licence
You keep ownership of the content you publish in a profile. You grant Able a non-exclusive, worldwide licence to host, display and index that content for the purpose of operating the platform — including showing your published profile to visitors and search.
Only publish content you have the right to use. Listings must not contain unlawful, misleading or infringing material; we may unpublish content that breaches these terms.
06Fees, Billing & Subscriptions
Paid plans renew automatically each period and are charged to the payment consent you approved. You may cancel at any time; access continues to the end of the paid period and no further charges are made. Failed renewal charges may pause paid features until payment succeeds.
The Purchases and Akahu sections show your payment relationships with organisations on the platform; they do not change them. Each membership, subscription or booking remains governed by the organisation that provides it, and revoking a payment consent does not by itself cancel a contract you hold with an organisation — it stops the payments that fund it, and the organisation may then suspend or end the service under its own terms. Receipts and amounts shown are records of the underlying payment rails.
07Intellectual Property
Able and its software, design and branding remain our property. You keep ownership of the content you create; you grant us only the licence needed to operate the service (see User Content & Licence).
08Third-Party Services & Links
The platform integrates third-party services (for example Google sign-in and cloud infrastructure). Their terms govern your use of those services; links from listings to external websites are not under our control.
Organisations may connect third-party services they are authorised to use. Data synced to a connected service is governed by that service’s own terms; we are not responsible for its availability or conduct. Organisations must keep webhook signing secrets confidential and must only register endpoints they control.
09Suspension & Termination
You may stop using Able and delete your account at any time. We may suspend or terminate access for breach of these terms, unlawful conduct, or risk to the platform or its users — with notice where practicable.
10Disclaimers
Able is provided "as is" and "as available". To the extent permitted by law we disclaim implied warranties; nothing in these terms limits rights you have under the New Zealand Consumer Guarantees Act 1993 where it applies.
11Limitation of Liability
To the maximum extent permitted by law, our total liability for any claim arising out of the service is limited to the amount you paid us in the twelve months before the claim, and we are not liable for indirect or consequential loss.
12Indemnification
You will indemnify us against claims arising from your content or your breach of these terms, to the extent the claim was caused by that content or breach.
13Governing Law & Disputes
These terms are governed by New Zealand law, and the New Zealand courts have exclusive jurisdiction over disputes — after the parties have first attempted to resolve the matter in good faith.
14Changes to These Terms
We may update these terms; the "Last updated" date above changes when we do. For material changes we will notify you in the app before they take effect. Continued use after the effective date is acceptance.
